These Terms of Service ("Terms") are an agreement between you and Drupefruit LLC ("Drupefruit," "we," "us," or "our"), a California limited liability company, and govern your use of .folio™ and its directly associated features (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms cover the .folio identity product and the features available on the .folio Personal and .folio Professional plans: your .folio profile and page, link-in-bio blocks, QR and NFC routing, AI photo and image assistance (FolioScan™), document storage (FolioVault™), and, on Professional, masked email aliases (FolioShield™ email). Other FolioLive platform features that are not part of your plan are governed by separate or updated terms that will be presented to you before you can access them. Nothing here grants access to, or governs, features you have not purchased.
You must be at least 18 years of age to use the Service. By using the Service, you represent that you are legally able to enter into binding contracts and that all information you provide is accurate and complete. The Service is not directed to children. We do not knowingly collect personal information from anyone under 13; if we learn that we have, we will delete it.
The Service is currently provided from the United States and is intended for use by persons located in the United States. We do not currently offer, market, or target the Service to persons in the European Economic Area, the United Kingdom, or Switzerland.
Paid subscriptions are currently available only to customers billing a United States payment method, and checkout may be declined for payment methods issued outside the United States. If you access the Service from outside the United States, you do so on your own initiative, you are responsible for compliance with the laws of your jurisdiction, and you accept that the Service may not meet local requirements.
Public .folio pages are readable worldwide. Making a page publicly viewable does not mean we offer the Service in, or direct it to, the country a visitor is viewing it from.
We may add or remove the countries in which we offer the Service. If we begin offering the Service in additional countries, we will update these Terms and any country-specific terms, pricing, and tax treatment that apply there. Availability in your country at any given time is not guaranteed to continue.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. You are responsible for unauthorized use of your account arising from your failure to keep your credentials secure.
You may not share, transfer, or sell your account. Each account represents one individual or one business entity.
Your .folio handle - your username and the address of your public page - is licensed to you for use with the Service, not sold to you, and remains part of the Service. You agree not to:
We may reclaim, reassign, or require you to change a handle that we reasonably believe violates these Terms, infringes a third party's rights, or has been inactive - no login and no page traffic - for twelve (12) consecutive months. We will not reclaim the handle of a paid, still-active subscriber for inactivity. Where a rights holder notifies us of a trademark or name conflict, we may suspend or reassign the handle after giving you a reasonable opportunity to respond.
YOUR SUBSCRIPTION AUTOMATICALLY RENEWS FOR SUCCESSIVE ONE-YEAR TERMS, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT ANNUAL FEE PLUS ANY APPLICABLE TAXES ON EACH RENEWAL DATE, UNTIL YOU CANCEL.
You provide your affirmative consent to these automatic-renewal terms when you subscribe.
You may cancel at any time from the Settings page in your account, or by emailing [email protected]. Cancellation takes effect at the end of your current annual term; you keep access until then. No further charges are made after you cancel.
For annual subscriptions, we send a renewal reminder to your account email before each renewal, within the period required by applicable law.
If a renewal charge fails, we may retry it, and we may downgrade, suspend, or - after a reasonable grace period - terminate your paid features. If you initiate a chargeback or payment dispute for a charge you authorized, we may suspend your account pending resolution.
You may not use the Service for any illegal activity, to distribute prohibited or harmful content, or in any way that violates applicable local, state, federal, or international law. Without limiting the foregoing, you agree not to:
When you set your .folio profile or page to a public or unlisted visibility, it can be viewed, saved, and shared by others. You are the publisher of, and are solely responsible for, the content, links, and information on your page. We act as a host and conduit only. We do not endorse, verify, or take responsibility for any third-party website, product, service, or destination you link to from your page, and any dealings between your visitors and those third parties are solely between them. You must hold the rights to any content, name, image, or mark you publish, and you must comply with the disclosure rules that apply to any affiliate or sponsored links you post (for example, U.S. FTC endorsement guidelines).
Some features let you build or auto-fill a profile or page by scanning a source you provide. You may only submit a source that you own or are authorized to manage, and you must have the right to use its contents. By claiming, importing to, verifying, or publishing a profile or page, you represent and warrant that you own it or are authorized to act on its behalf. We may require you to verify ownership or authority before a page is made public, and we may decline, unpublish, suspend, or reassign any page we believe was claimed without authorization. Submitting a false or unauthorized claim is a violation of these Terms and may result in suspension or termination without refund.
Features described as "unlimited" are subject to a fair use policy. Usage exceeding three times the median across all users of the same plan may be reviewed and throttled.
The security and integrity of the Service matter to every user on it. To the maximum extent permitted by applicable law, you agree not to, and not to permit or assist any third party to:
Nothing in this Section limits any right you have that cannot be waived by contract under applicable law (for example, certain rights to reverse engineer solely for interoperability).
We welcome good-faith security research. If you believe you have found a vulnerability, report it privately to [email protected] and give us a reasonable opportunity to address it before any disclosure. You must not access, modify, or delete data that is not yours, degrade the Service for others, or exploit a vulnerability beyond the minimum necessary to demonstrate it. Good-faith research conducted in accordance with this Section, and not otherwise violating these Terms or the law, will not be pursued by us as a Terms violation. Accessing accounts or data that are not yours, exfiltrating data, extortion, or public disclosure before a fix is not good-faith research.
We monitor use of the Service for security and abuse, including automated detection of anomalous request patterns, credential misuse, and attempts to circumvent the controls described above. We may, at our discretion and with or without prior notice, throttle, suspend, lock, or terminate any account, and revoke active sessions, that we reasonably believe is engaged in, or poses a risk of, a violation of this Section, in order to protect the Service and its users. Where practical and lawful, we will notify the affected account holder. Suspension or termination under this Section is without refund.
You retain ownership of all content you upload (images, documents, page content, profile data). By uploading content, you grant Drupefruit a non-exclusive, worldwide, royalty-free license to host, display, store, and process that content as necessary to operate and provide the Service to you. This license ends when you delete the content or close your account, except for content you have made public that others have already saved or shared, and for backup copies that expire in the ordinary course.
The Service, including its software, design, and all associated product names and marks - including FolioLive™, .folio™, FolioScan™, FolioVault™, FolioShield™, and Drupefruit™ - is owned by Drupefruit LLC and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Your use of the Service is also subject to Section 5.
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose without restriction or compensation to you.
We generate aggregated, de-identified analytics and operational data from use of the Service (for example, page-view counts, tap and scan totals, and performance metrics). As between you and us, we own that aggregated, de-identified data and may use it to operate, secure, and improve the Service, provided it does not identify you or any individual.
The .folio Service is software. On the plans covered by these Terms, you provide your own NFC card or tag and write your .folio address to it yourself using a compatible third-party app or device. We do not sell, supply, or warrant that hardware, and we are not responsible for the performance, compatibility, or failure of any NFC card, tag, phone, or app you use. QR and NFC routing depend on third-party devices and networks we do not control. If we or a partner distribute pre-encoded, promotional, or FolioLive-branded cards or tags - including cards you claim and link to your account - those are governed by separate terms presented to you at the time of claim or purchase. We do not warrant third-party hardware, and a promotional card confers no rights except those stated in its own terms.
The Service uses AI (including FolioScan™) to assist with tasks such as photo processing, background image generation, and content suggestions.
Masked phone numbers and other telephony or messaging features are not part of the .folio Service covered by these Terms.
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a written notice to our designated agent at [email protected] (or the postal address in the Contact section) that includes the elements required by 17 U.S.C. 512(c)(3): your physical or electronic signature; identification of the copyrighted work; identification and location of the material you claim is infringing; your contact information; a statement of your good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the owner's behalf.
We will remove or disable access to material we determine to be infringing, notify the affected user, and provide a counter-notification process consistent with the DMCA. We terminate the accounts of repeat infringers in appropriate circumstances.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described there.
If you use the Service to collect other people's contact information - for example through your page, a contact form, or a card or QR exchange - you are responsible for that information. You must have a lawful basis to collect it, use it only in ways those individuals would reasonably expect, honor their requests, and comply with applicable privacy and anti-spam laws. As to the people whose data you collect through your use of the Service, you, and not Drupefruit, are the party responsible for it.
The Service relies on third-party providers, including Stripe for payment processing and our cloud hosting and email providers. Your use of features powered by a third party may be subject to that provider's terms, and we are not responsible for their acts or omissions. We are not a bank or a payment processor; card payment handling is performed by Stripe.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRUPEFRUIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DRUPEFRUIT LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you.
You agree to indemnify and hold Drupefruit LLC, its officers, members, employees, and affiliates harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, content you publish, your violation of these Terms, or your violation of any third-party right.
The following survive termination: the sections concerning content and feedback licenses, intellectual property and analytics data, security and technical restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and the general terms below.
Before starting an arbitration, you agree to first try to resolve any dispute informally by contacting [email protected] and allowing 30 days to reach a resolution.
Any dispute not resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in San Diego County, California. You waive any right to participate in a class action lawsuit or class-wide arbitration. For claims under $1,000, you may choose small claims court in San Diego County as an alternative to arbitration.
Your right to opt out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing [email protected] with your account details and a clear statement that you opt out. If you opt out, disputes will be resolved in the state or federal courts located in San Diego County, California.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
We may update these Terms from time to time. We will notify account holders of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
